1. Acceptance & eligibility
By creating an account or using bnoula (the "Service") you agree to these Terms. You must be at least 18 years old and able to form a binding contract. If you act for a business, you represent you are authorized to bind it.
2. The Service
bnoula provides multi-tenant business software (booking, customer messaging, payments, AI assistance, outreach). Features may change, and metered features are billed as set out in §6.
3. Accounts & security
You are responsible for all activity under your account and for safeguarding your credentials. Notify us immediately of any unauthorized use. We may suspend accounts that threaten the Service's security or integrity.
4. Acceptable use
Your use must comply with the Acceptable Use Policy. Prohibited activity (spam, illegal content, abuse, circumvention of limits or billing) may result in immediate suspension.
5. Subscriptions
Access requires an active subscription (or an explicitly granted free plan). Fees are stated at purchase. Subscriptions renew until cancelled; cancellation stops future renewals and does not refund the current period except as required by the Refund Policy or law.
6. Metered usage & wallet
Usage of metered features (messaging, AI, data gathering, campaigns) is charged from a prepaid USD wallet at our published price (provider cost plus a disclosed markup). You authorize these debits. When the wallet is empty, metered features are suspended until topped up. You are responsible for any spend within your configured cap. Prices are shown before consumption where feasible.
7. Payment authorization
By saving a payment method and confirming a charge (with re-authentication), you authorize [Operator Legal Entity — set LEGAL_ENTITY_NAME] (and our payment processors) to charge that method for the amounts shown. Card data is held only by our PCI-compliant processors; we store tokens, never card numbers.
8. Your content & customers' data
You retain ownership of content you upload. You grant us a license to host and process it to provide the Service. Where you process your customers' personal data through the Service, you are the controller and we are your processor under the Data Processing Addendum (DPA), and you warrant you have a lawful basis and required consents.
9. AI features
AI output may be inaccurate; you are responsible for reviewing it before relying on or sending it. AI does not constitute professional (legal, medical, financial) advice.
10. Compliance, AML & sanctions
You must comply with all applicable laws, including anti-money-laundering and economic-sanctions regimes. You represent that you, your business, and your funds are not subject to sanctions, and you will not use the Service to facilitate sanctioned or illegal transactions. We may screen, freeze, or report activity as required by law.
11. Suspension & termination
We may suspend or terminate for breach, non-payment, legal risk, or abuse. You may stop using the Service at any time. Sections that by nature survive (payment, liability, indemnity, governing law) survive termination.
12. Disclaimers
THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, TO THE MAXIMUM EXTENT PERMITTED BY LAW. See the Liability Policy.
13. Limitation of liability
See the Liability Policy, which is incorporated by reference and limits our aggregate liability.
14. Indemnity
You will indemnify [Operator Legal Entity — set LEGAL_ENTITY_NAME] against claims arising from your content, your customers' data, your use of the Service, or your breach of these Terms or applicable law.
15. Changes
We may update these Terms; material changes require renewed consent. Continued use after the effective date constitutes acceptance.
16. Governing law & disputes
These Terms are governed by the laws of [Jurisdiction — set LEGAL_JURISDICTION], and disputes are subject to the exclusive jurisdiction of its courts, without regard to conflict-of-laws rules.
